BackTest Studio: Terms of Use

These Terms govern your use of the BackTest Studio desktop application and its optional subscription services (the "Software" and the "Service"). By installing or using the Software you agree to them. If you do not agree, do not install or use it.
1. Who we are
The Software is provided by the operator identified in section 1 of the Privacy Policy ("we", "us"). Contact: destek@backteststudio.dev. Website: backteststudio.dev.
2. What the Software is (and is not)
BackTest Studio is a desktop tool for testing and analysing trading strategies on historical data. It runs on your computer. It is not a broker, does not execute real trades, does not give signals, and does not provide investment, financial, tax or legal advice. Read the Risk Disclosure; it is part of these Terms.
3. Licence
- Free (Basic) plan: we grant you a personal, non-exclusive, non-transferable, revocable licence to use the Software with the limits of the Basic plan. A free BackTest Studio account is required to sign in (see section 4).
- Paid plans (Starter, Pro, and any later plan): the same licence with the features and limits listed for that plan on our website or in the Software, for as long as your subscription is active.
- The Software is licensed, not sold. We keep all rights not expressly granted.
4. Accounts (paid plans)
- To use the Software you create a BackTest Studio account with an e-mail address, a public username and a password, and verify the address with a code we send you. The same account is used for paid plans and for the optional community (there is no separate community registration). Your username is chosen at sign-up and shown to other users in the community. You may optionally tick a box to receive marketing e-mails (new features, updates, promotions, discounts); this is not a condition of using the Software and you can withdraw it at any time in Settings. Account e-mails (verification, password reset) are always sent. Keep your password secret; you are responsible for activity under your account.
- One computer at a time: an account can be active on one computer at a time. You may move it to another computer; the number of moves is limited (currently 2 per 30 days).
- While signed in, the Software periodically contacts our server to renew a signed licence document. If it cannot be renewed, paid features keep working for up to 24 hours offline, then the Software returns to the Basic plan until it can reconnect. Your local data is never deleted by this.
5. Subscriptions and payment
- Paid plans are subscriptions (monthly or yearly) that renew automatically until cancelled.
- Orders and payments are processed by our payment provider Lemon Squeezy, which acts as the merchant of record, charges applicable taxes and handles billing. Its terms apply to the payment. We never see your card details.
- Prices are shown at checkout. We may change prices for future periods; we will give at least 30 days notice before a change affects you.
- Cancellation: you can cancel at any time through the link in your payment receipt or the subscription management page. Cancellation takes effect at the end of the paid period; you keep paid features until then.

6. Your data and strategies
Your strategies, settings, test results and downloaded market data stay on your computer. You own them. We do not claim any rights to them. How we handle the limited data we do receive is described in the Privacy Policy.
7. Acceptable use
You may not: copy, resell, sublicense or share the Software or your account; reverse engineer, decompile or circumvent the licence checks or plan limits, except as allowed by mandatory law; use the Software to break the law or third-party terms; attack or overload our servers; or use the Service to build a competing product from our paid features.
8. Third-party services and data
- The Software can download historical prices from third-party sources and may show live prices from third-party endpoints. We do not own, license or redistribute that data and the Software is delivered without it. You download it to your own computer and you are responsible for following each provider's terms. Third-party sources can change or stop at any time and some are unofficial; we give no guarantee of availability or accuracy.
- The optional AI analysis feature sends test results and strategy code to Anthropic using your own Anthropic API key. You decide whether to use it; usage fees are billed to your Anthropic account; Anthropic's terms and privacy policy apply to that data.
- Some features may load open-source components (for example a Python runtime) from public content delivery networks.
- The optional community features have their own terms.
9. Updates and availability
We may release updates (the Software can install them automatically if you allow it), change features, and discontinue plans or the Service with reasonable notice. We do not guarantee uninterrupted availability of our servers.
10. No warranty
To the extent permitted by law the Software and Service are provided "as is" and "as available", without warranties of any kind, express or implied, including accuracy of results, fitness for a particular purpose, uninterrupted or error-free operation, or that any strategy will be profitable. Backtest results are hypothetical and can be wrong because of data errors, modelling limits or bugs. You check results yourself before relying on them.
11. Limitation of liability
To the extent permitted by law we are not liable for trading or investment losses, lost profits, lost data, or indirect or consequential damages arising from use of the Software or Service. Our total liability for any claim is limited to the amount you paid us for the Service in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited by mandatory law (for example for intent or gross negligence, or consumer rights that cannot be waived).
12. Termination
You can stop using the Software and cancel at any time, and you can delete your account yourself in Settings (cancel an active paid subscription first). We may suspend or end your access if you materially breach these Terms or abuse the Service; where a refund is owed under the Refund Policy we will pay it. Sections that by their nature should survive (for example 10, 11, 14) survive termination.
13. Changes to these Terms
We may update these Terms. We will announce material changes in the Software or on our website at least 30 days before they apply to you. If you keep using the Software after that date you accept the changes; if you do not, you may cancel before they apply.
14. Governing law and disputes
These Terms are governed by the laws of Hungary, without taking away mandatory consumer protection of the country where you live. If you are a consumer you may bring a claim in the courts of your country of residence where the law allows. Otherwise the courts of Budapest, Hungary have jurisdiction.
